Constitutions and By-Laws
Of The
Broad Ripple High School
Parents and Teachers Association

ARTICLE I

NAME

This organization shall be known as the Broad Ripple High School Parents and Teachers Association.

ARTICLE II

OBJECTIVES

The objectives of this Association are: • the advancement of student welfare in the school, home, and community • the encouragement of parent and teacher cooperation toward the realization of such student welfare as well as the improvement of the quality of their education and, • the continuing improvement of educational and other student-teacher facilities at Broad Ripple High School.

ARTICLE III

MEMBERSHIP

       The parents or guardians of Broad Ripple High School students and the teaching and administrative faculty of the school, and other interested members of the community shall be eligible for membership in this Association. The annual dues are a minimum of two dollars ($2.00) per person for the period September 1 to August 31.

ARTICLE IV

OFFICERS

       The officers of this Association shall be a President, a Vice President, a Recording Secretary, a Corresponding Secretary, and a Treasurer. These officers together with the school principal or alternate shall constitute the Executive Board. Persons elected as officers of the Association must be the parent or guardian of a student/s currently enrolled at Broad Ripple High School.

ARTICLE V

DUTIES OF OFFICERS

       Section 1. The President shall preside at all meetings of the Association and the Executive Board; shall be an ex-officio member of all committees except the nominating committee; and shall perform all other duties normally pertaining to that office.

       Section 2. The Vice President shall, in the absence of the President. perform all the duties of that office, arrange for programs as necessary, and act as the liaison for the Partners in Education.

       Section 3. The Recording Secretary shall keep accurate records of attendance and all business transacted at meetings of the Association, and of the Executive Board.

       Section 4. The Corresponding Secretary shall conduct the correspondence of the Association; notify officers, committee members and delegates of their election; and shall send out notices of Executive Board meetings and other meetings, as required.

       Section 5. The Treasurer shall receive all moneys of the Association and keep an accurate record of receipts and expenditures. The Executive Board shall be responsible for preparing an annual budget which shall be presented in Se ember and approved in October of each year. No disbursements, other than budgeted items, shall be made unless authorized by the Executive Board. The Treasurer shall be bonded for a sum approved by the Executive Board. All checks shall be signed by the Treasurer, except that in case of absence or of inability of the Treasurer, the President or Secretary shall be authorized to sign checks.

ARTICLE VI

STANDING COMMITTEES

       Such Standing Committees shall be established by the Executive Board as may be required to promote the interest of the Association. The Chairman of the standing committees shall be appointed by the President with the approval of the Executive Board and their term shall be limited to the current school year.

ARTICLE VII

ELECTION AND TERMS OF OFFICERS

       Section 1. The officers of this Association shall be elected at the regular meeting held during the month of April. They shall assume their duties as of July 1st.

       Section 2. Nominations for officers shall be made by a nominating committee of three to five members appointed by the Executive Board no later than the date of the January meeting; additional nominations may be made from the floor. The nominating committee shall select its own chairman and shall prepare a single slate of officers which shall be presented to the general membership at the meeting held during the month of March.

       Section 3. No person shall be eligible to serve in the same elective office for more than two consecutive terms.

       Section 4. Upon the resignation, death, or incapacity of the President, the Vice President shall fill out the unexpired term. Any vacancy which occurs in any other elected office shall be filled by a vote of the Executive Board.

ARTICLE VIII

MEETINGS

       The time and place for all meetings of this Association shall be determined by the Executive Board. Special meetings may be called by the President or by a majority of the Executive Board.

ARTICLE IX

RULES OF ORDER

       The rules contained in Robert’s Rules of Order Revised, govern this Association in all cases in which they are applicable and in which they are not inconsistent with this Constitution and By-Laws.

ARTICLE X

DISSOLUTION

       The Association shall use its funds only to accomplish the objectives specified in Article II and no part of said funds shall inure, or be distributed, to members of the Association. On dissolution of the Association, any funds remaining shall be distributed to one or more regularly organized and qualified charitable, educational, scientific, or philanthropic organizations, as defined in the Internal Revenue Code, to be selected by the Executive Board.

ARTICLE XI

AMENDMENTS

       Section 1. This Constitution and By-Laws may be amended or repealed by a two-thirds vote of the members present at any regular meeting, or special meeting designated for such action, provided that notice of such proposed action shalt have been given at least ten (10) days prior to the date of such meeting.

       Section 2. Any amendment or resolution terminating the existence of this organization or disposing of its assets by way of dissolution, as outlined in Article X above, shall be effective only upon receiving a two-thirds vote of the paid members present and voting, provided the proposed amendment or resolution has be presented in writing and read aloud to the members present at the preceding regular meeting of the Association.
